Terms of Service

Effective date: Updated June 2026 Owner: Exit Basis ("Exit Basis," "we," "us," or "our") Product: "Exit Basis" — an online educational product including course content, an AI mentor feature, and practice underwriting deals (collectively, the "Service").

By creating an account, purchasing, or otherwise accessing the Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Educational purpose only

Exit Basis is an education product. It teaches institutional multifamily real-estate underwriting concepts. It is not investment advice, financial advice, legal advice, tax advice, brokerage services, or a securities offering, and it does not create any advisor/client or fiduciary relationship. See our separate Disclaimer, which is incorporated into these Terms by reference.

2. Eligibility and accounts

• You must be at least 18 years old to create an account or purchase the Service.
• You are responsible for the accuracy of the information you provide and for keeping your login credentials secure.
• You are responsible for all activity under your account. Notify us promptly at [exitbasis@gmail.com] if you suspect unauthorized use.
• We may suspend or terminate accounts that violate these Terms.

3. License to course content

Subject to your compliance with these Terms and payment of applicable fees, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the course content for your own individual educational use.

You may not:

• Copy, reproduce, republish, post, distribute, or display the content publicly;
• Sell, resell, rent, lease, sublicense, or otherwise transfer access or materials to any third party;
• Share your account or login credentials with anyone else;
• Use the content to build or train a competing product, course, or model;
• Remove or alter any proprietary notices.

Access is tied to your individual account and the purchase you made. We may offer separate team or organizational licenses under different terms.

4. Intellectual property

All content in the Service — including text, videos, slides, spreadsheets, templates, practice deals, the AI mentor prompts and outputs framework, software, trademarks, logos, and the "Exit Basis" name — is owned by Exit Basis or its licensors and is protected by intellectual-property laws. Except for the limited license in Section 3, no rights are granted to you.

Feedback you submit may be used by us without restriction or compensation.

5. AI Mentor terms

The Service includes an "AI Mentor" feature that generates responses to your questions ("AI Outputs").

• Metered credits. AI Mentor usage is metered in credits. Your plan includes a set allotment; additional usage may require additional credits or a higher tier. Credits may expire per your plan terms and are non-refundable except as required by law or our Refund Policy.
• No guarantee of accuracy. AI Outputs are generated automatically and may be incomplete, outdated, or wrong. AI Outputs are educational illustrations only and are not advice. Do not rely on them for any real transaction without independent verification by qualified, licensed professionals.
• Your inputs. Do not submit confidential, personal, or sensitive third-party information to the AI Mentor. You are responsible for the inputs you provide.
• No professional relationship. Using the AI Mentor does not create any advisory, fiduciary, or professional relationship.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorized access to the Service, other accounts, or our systems;
• Reverse engineer, scrape, or circumvent any access controls or usage limits;
• Upload malicious code or interfere with the Service's operation;
• Harass, abuse, or harm other users or our staff;
• Misrepresent the Service or your relationship with Exit Basis.

7. Payment

Fees are described at the point of purchase. Payments are processed by our third-party payment processor (Stripe). You authorize us and our processor to charge your selected payment method. Applicable taxes may be added. Refunds are governed by our Refund Policy.

8. Disclaimers of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY CONTENT OR AI OUTPUT IS ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, [EXIT BASIS LLC] AND ITS OWNER, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR INVESTMENT OR BUSINESS LOSSES, ARISING FROM OR RELATED TO THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Exit Basis and its owner and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service or violation of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of [State], without regard to conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in [County/City, State], and you consent to that jurisdiction.
